1. About the service

Managed Margin is a web-based tool that helps consulting and professional services firms calculate, track, and manage project margins. The service is operated from Maharashtra, India. These Terms govern your use of managedmargin.com and any associated applications.

2. Eligibility

You must be 18 years or older and have the legal authority to enter into these Terms on behalf of yourself or your organisation.

3. Your account

You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. Notify us immediately at [email protected] if you suspect unauthorised access.

4. Your data

The business data you enter into Managed Margin belongs to you. We do not claim ownership of your data. We grant ourselves a limited licence to store and process your data solely for the purpose of providing the service. We do not sell, share, or use your business data for any other purpose.

5. Acceptable use

You agree not to use the product in any way that violates applicable Indian law, attempt to gain unauthorised access to any part of the product, interfere with its proper operation, or reverse engineer its source code.

6. Disclaimer of warranties

Importantly: Managed Margin is a calculation and tracking tool. It does not provide financial, legal, tax, or professional advice. The margin figures and calculations generated by the product are based entirely on the data you enter. Accuracy of output depends entirely on accuracy of input.

If any calculation appears incorrect, you may report it to us and we will review it at our discretion. We make no guarantee that calculations will be free of errors and accept no liability for any error, omission, or inaccuracy in any output generated by the product. All important financial decisions must be independently verified by a qualified finance professional before being acted upon.

You are solely responsible for any business decisions made on the basis of data generated by this product.

7. Limitation of liability

To the fullest extent permitted by law, Managed Margin and its operators shall not be liable for any indirect, incidental, special, consequential, or punitive damages of any kind, including but not limited to: loss of revenue, profits, business, or data; damages arising from incorrect calculations, whether or not caused by inaccurate input data; business or financial decisions made on the basis of product outputs; loss or corruption of data; interruptions, errors, delays, or security breaches; or any reliance on the product as a substitute for professional financial, legal, or business advice. This exclusion applies regardless of the legal theory under which the claim is brought, even if we have been advised of the possibility of such damages.

Our total liability for any claim shall not exceed the total amount paid by you to us in the 12 months preceding the claim. Since the product is currently free, our liability is limited to the maximum extent permitted by law.

8. Force majeure

We are not liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to acts of God, internet or infrastructure outages, government actions, cyberattacks, or third-party service failures.

9. Indemnification

You agree to indemnify and hold harmless Managed Margin and its operators from any claims, losses, damages, or expenses arising from your use of the product, your violation of these Terms, or your violation of any third party's rights.

10. No waiver and severability

Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of that right or provision. If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

11. Service availability and changes

We reserve the right to modify, suspend, or discontinue the product at any time, with or without notice, and without liability to you. We may update these Terms at any time by publishing a revised version on this page. Continued use of the product after any change constitutes your acceptance of the revised Terms.

12. Termination

You may delete your account at any time. We may suspend or terminate your access if you violate these Terms. On termination, your right to use the product ceases and we will handle your data per our Privacy Policy.

13. Governing law and jurisdiction

These Terms are governed by and construed in accordance with the laws of India, without regard to conflict of law principles. Before initiating any legal proceedings, you agree to first contact us at [email protected] and attempt to resolve the dispute informally for a period of 30 days. Any dispute not resolved informally shall be subject to the exclusive jurisdiction of the courts in Pune, Maharashtra, India. You waive any right to participate in a class action lawsuit or class-wide arbitration against Managed Margin.
